VOSKPO LLC (“VOSKPO,” “we,” “our,” or “us”) is a New Mexico Limited Liability Company, having its principal office at 500 Marquette Avenue NW, Suite 1200, Albuquerque, NM 87102, USA.

These terms and conditions (the “Agreement”) govern your use of VOSKPO’s services, including the VOSKPO RCM Portal and any related products or services (collectively, the “Services”) accessible through www.voskpo.com (the “Site”). By using the Site or Services, you agree to be bound by this Agreement. If you do not agree, you may not use the Site or Services. VOSKPO reserves the right to amend this Agreement at any time by posting an updated version on the Site. Except where otherwise stated, changes are effective 30 days after posting.

1. Definitions

  • VOSKPO LLC: A New Mexico Limited Liability Company and its successors and assigns.
  • VOSKPO RCM Portal: Online platform provided by VOSKPO to manage billing, coding, insurance claims, and patient record services.
  • Customer: Any user of VOSKPO Services, including healthcare providers or staff.
  • Customer Instructions: Requests or instructions sent through the VOSKPO RCM Portal using a User ID and Password.
  • Users: Individuals authorized by the Customer to access the Portal on their behalf.
  • Password: Confidential login credentials for accessing the VOSKPO RCM Portal.

Clause headings are for reference only. Words importing the singular include the plural and vice versa.

2. Eligibility

The Services are available to healthcare providers, companies, and authorized staff. By using the Services, Customers agree that information provided (“User Information”) may be stored, used, and processed as necessary to provide VOSKPO Services, including for HIPAA-compliant support, fraud prevention, and due diligence.

3. Use of the Site

  • Access and use of the Site must comply with all applicable federal, state, and local laws.
  • Customers may use the Site for lawful, professional purposes only.
  • Customers may not distribute, modify, copy, transmit, or create derivative works of any material on the Site without prior written consent.
  • Users must not access or use the Site in ways that disrupt the Site or interfere with other users’ access.

4. Use of VOSKPO RCM Portal

  • The Portal allows Customers to manage billing, coding, insurance claims, and patient records.
  • VOSKPO acts as a facilitator and does not control third-party systems or insurance company processing.
  • Customers are responsible for maintaining the confidentiality of passwords and account details. Unauthorized access is the responsibility of the Customer.

5. Representation

  • The Portal is a computer-based platform; authorization of transactions or requests is based on login credentials, not signatures.
  • Transactions executed via the Portal using valid credentials are deemed authorized by the Customer or their Users.
  • Portal access is available 24/7; however, VOSKPO does not guarantee uninterrupted service due to maintenance, network issues, or unforeseen events.

6. Charges

  • VOSKPO may revise service charges at its discretion.
  • Customers agree to pay all fees in accordance with VOSKPO’s fee schedule.

7. Account Information

  • Customers must complete account verification procedures.
  • The Portal is a secure medium for data management; Customers remain responsible for accuracy and security.
  • Unauthorized use of the account may result in liability for the Customer.

8. Security Control

  • Customers must ensure passwords remain confidential and change them regularly.
  • Accounts must be monitored for errors or unauthorized activity.
  • VOSKPO may act on instructions authenticated via passwords without further verification.

9. Closing or Suspension of Accounts

  • VOSKPO may limit, suspend, or terminate access for violations of this Agreement, fraudulent activity, or security concerns.
  • Customers must comply with all rules and promptly report unauthorized access.

10. Customer Instructions

  • Customers are fully responsible for instructions submitted through the Portal.
  • VOSKPO is not liable for errors or incomplete instructions submitted by Customers.
  • Conflicting instructions may be rejected at VOSKPO’s discretion.

11. Obligations of the Customer

  • Customers must comply with all applicable laws and internal policies.
  • Access to the Portal may be restricted for maintenance, updates, or other operational needs.

12. Information to Third Parties

  • VOSKPO may share Customer information with third parties only to comply with legal obligations, court orders, or regulatory requirements.

13. SMS and Communication

  • By providing a phone number, Customers consent to receive SMS notifications for service-related messages. Standard messaging rates may apply.
  • Opt-out requests can be sent to [email protected].

14. Liability

  • VOSKPO: Services are provided “as is.” VOSKPO is not liable for indirect, special, or consequential damages. Liability is capped at fees paid in the three months prior to the event.
  • Customer: Responsible for unauthorized transactions if not reported promptly. Must secure account credentials.

15. Termination

  • Either party may terminate the Agreement with 30 days’ notice.
  • VOSKPO may terminate immediately for breach, account security risks, or fraud.
  • Upon termination, access to the Portal ceases, and Customers must return or destroy all relevant materials.

16. Governing Law

  • This Agreement is governed by the laws of the State of New Mexico, USA, without regard to conflicts of law principles.

17. Entire Agreement

  • This Agreement constitutes the complete understanding between VOSKPO and Customers regarding the Portal.
  • Severable clauses: if any clause is invalid, the remainder remains effective.

18. Alterations

  • VOSKPO may amend these Terms and Conditions at any time. Continued use after changes indicates acceptance.

19. Indemnity

  • Customers agree to indemnify VOSKPO against losses, claims, or damages arising from unauthorized use, breach of this Agreement, or misuse of the Portal.
